| PRainponchos Terms and Conditions of Sale | ||||||
| All sales of Rainponchos [a trading name of Click Promotions Ltd.]
products are governed by these Terms and Conditions of Sale. 1. DEFINITIONS 1.1. Delivery means the despatch by Rainponchos to the address given by the customer when the order is placed. 1.2. Products or goods mean any items offered for sale by Rainponchos and ordered by the customer. 2. PRICES 2.1. Quoted prices exclude delivery charges. 2.2. Rainponchos reserve the right to increase prices when Customers require credit. 2.3. Quoted prices include VAT at the appropriate level. 2.4 Quoted prices are only valid at the time the order is placed. 2.5 Customers will pay any additional handling, duty, tax, or other expenses that may fall due, over and above the quoted price and the cost of delivery to the designated address. 3. ORDERS 3.1. All orders are subject to acceptance by Rainponchos 3.2. Orders must specify delivery requirements and method of payment. 3.3. Customers placing orders are deemed to have accepted these Terms and Conditions. 3.4. All orders are none-cancellable. Goods may only be returned if faulty and Customers will be responsible for the cost of returning goods, such a cost to be refundable if the goods prove to be faulty. 4. SHIPMENT AND RISK OF LOSS 4.1 Rainponchos will ship all orders by standard commercial means and all risks will pass to the Customer when the products arrive at the designated delivery address. 4.2 If special packing or delivery instructions are agreed, these will be payable by the Customer. 4.3 If the Customer instructs their own carrier, all risks will pass to the Customer on delivery to the Customer's carrier. 5. PAYMENT 5.1 Unless otherwise agreed by Rainponchos, products will not be despatched by Rainponchos until payment is received. 5.2 Rainponchos reserve the right to make credit checks before allowing Customers credit. 5.3 Unless otherwise agreed, credit payment terms are 28 days net from date of despatch. 5.4 Rainponchos reserve the right to suspend deliveries if the customer fails to pay any sum due or if payments made by the Customer prove to be invalid in any way. 5.5 Title to the products will only pass to the Customer when Rainponchos have received all sums due for the products and any additional charges. 6. GENERAL 6.1 Transaction may be conducted by electronic data exchange, other electronic methods, credit or debit cards and cheques, subject to the approval of Rainponchos. 6.2 When Customers pay by cheque, Rainponchos reserve to right to delay despatch of the products until the cheque has cleared. 6.3 Rainponchos will not be liable for performance delays or none-performance due to causes beyond its reasonable control. 6.4 Unless otherwise agreed neither party may transfer, in whole or part, it's rights and obligations without the agreement of the other party. 6.5 If either party becomes insolvent, is unable to pay its debts, files for bankruptcy or has a receiver or administrator appointed, the other party may cancel unfulfilled obligations. 6.6 The Laws of England and Wales will govern this agreement. 6.7 This agreement supersedes any previous communications or representations, oral or written regarding the transaction. 6.8 All notices required in the agreement shall be in writing and must be delivered personally, sent by facsimile transmission, e-mail or by 1st class post. 6.9 Notwithstanding if any part of the agreement proves illegal or not enforceable, the other provisions of this agreement shall remain in force. |
